Licensing terms — the details that matter

"Cash-flowing streams" means streams that organically monetize for you — streams driven by your own paid advertising do not count against the cap. Promote the record as hard as you like. The cap is measured from your DSP or distributor royalty statement.

When you cross the cap, you choose: upgrade to the next tier and pay the difference, or move to a 60/40 revenue split on that song going forward (60% to The Refinery Entertainment). Upgrading is almost always the cheaper path.

Exclusive is $2,000 USD to buy now, or make an offer and we'll come back to you. It carries master-use exclusivity: the beat comes off the store and only you may use it commercially. Non-exclusive licenses sold before your purchase remain valid — that's standard. The Refinery retains 50% of the writer's/publishing share by default; a full publishing buyout is negotiable.

Deliverables by tier. Limited is MP3 only. Premium adds the WAV. Unlimited and Exclusive add the WAV stems. Upgrading later costs the difference between the tiers.

Customization. Every license includes a pass where an in-house producer rewrites the drum pattern around your lyrics — chosen at checkout, along with the 3-stem replacement (+$100 USD) or a full custom (+$500 USD). On a 3-beat bundle an upgrade is priced per beat and applied to all three. Files are issued after that pass is approved, so what you receive is the version built for your song.

Your license activates when that pass is complete. Until the included drum customization has been carried out, the license is not in effect. There is no deadline — take as long as you need — the single condition is that it happens before the song is publicly released. Releasing a song built on the beat before the pass is complete means releasing it without an active license, and is treated as unlicensed use.

Film, television and video game placements — 50/50. If a song built on a Refinery beat is placed in a film, television programme, or video game, that placement carries an automatic 50/50 split of the gross placement fee, on every tier including Exclusive. It is payable in full when the placement fee is received, or paid directly to The Refinery Entertainment by the party purchasing the placement. Placements must be declared to us in writing. This is a one-time split on the placement fee, separate from any ongoing publishing share.

Right to audit. The Refinery Entertainment may require an audit of your use of the beat and of the revenue it earns — royalty statements, distributor and DSP reports, sync and placement agreements, and placement fees — on written notice. This right runs one way. You are not granted a reciprocal right to audit us, for the plain reason that we collect no money on your behalf: your distributor pays you directly and nothing of yours passes through our hands. If the audit finds a breach — a stream cap exceeded, a placement undeclared, a release before activation — you are liable for the full sum owed and the cost of the audit, and both are payable in first position out of the revenue concerned, ahead of any other distribution or claim.

These are the commercial terms in plain language. The executed license agreement is the governing document and is sent with your files.
